1. Acceptance of Terms
By accessing or using the Replai platform ("Service"), operated by Junkies Coder, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms apply to all users of the Service, including workspace owners, team members, and administrators.
2. Description of Service
Replai is an AI-powered WhatsApp CRM platform that enables businesses to:
- Manage WhatsApp Business API conversations in a shared team inbox
- Create and manage contacts, deals, and sales pipelines
- Build and deploy automated messaging workflows
- Use AI-assisted features for message drafting and customer engagement
- Send broadcast messages using pre-approved templates
- Manage team roles, permissions, and access controls
The Service integrates with Meta's WhatsApp Business Platform and is subject to Meta's own terms and policies.
3. Account Registration
3.1 Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.
3.2 Account Security
- You are responsible for maintaining the confidentiality of your login credentials
- You must notify us immediately of any unauthorized use of your account
- You are responsible for all activity that occurs under your account
- We recommend enabling strong passwords and practicing good security hygiene
3.3 Account Information
You agree to provide accurate, current, and complete information during registration and to keep this information updated.
4. WhatsApp Business API Compliance
As a user of Replai, you agree to comply with:
- Meta's WhatsApp Business Policy — Including messaging limits, template guidelines, and prohibited content
- Meta's Commerce Policy — For any commercial transactions conducted through WhatsApp
- 24-Hour Messaging Window — You may only send free-form messages within 24 hours of the last customer-initiated message. Outside this window, only pre-approved templates may be used.
- Opt-In Requirements — You must obtain explicit, verifiable consent from customers before sending proactive messages
- AI Usage Policy (2026) — AI features must be used for specific, purpose-driven tasks only. General-purpose AI chatbots are prohibited per Meta's updated policy.
Violation of Meta's policies may result in your WhatsApp Business account being suspended or permanently banned by Meta, which is outside Replai's control.
5. Acceptable Use
You agree not to use the Service to:
- Send unsolicited bulk messages (spam)
- Distribute malware, phishing links, or harmful content
- Impersonate other businesses, organizations, or individuals
- Violate any applicable laws or regulations
- Circumvent rate limits, messaging restrictions, or security measures
- Harvest or scrape contact data without proper consent
- Use AI features to generate misleading, deceptive, or illegal content
- Share login credentials with unauthorized parties

6. Intellectual Property
6.1 Our Rights
The Service, including its design, code, features, and branding, is the property of Junkies Coder and is protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.
6.2 Your Content
You retain ownership of all content you upload, create, or transmit through the Service (messages, contacts, templates, etc.). By using the Service, you grant us a limited license to host, store, and process this content solely for the purpose of providing the Service.
7. Payment and Billing
- Pricing and billing terms are presented at the time of purchase or subscription
- All fees are non-refundable unless otherwise stated or required by law
- We reserve the right to modify pricing with 30 days' advance notice
- Failure to pay may result in suspension or termination of your account
8. Service Availability
- We strive to maintain 99.9% uptime but do not guarantee uninterrupted access
- We may perform scheduled maintenance with reasonable advance notice
- We are not liable for downtime caused by Meta's WhatsApp Business API, third-party services, or force majeure events
9. Termination
9.1 By You
You may terminate your account at any time through the platform settings or by contacting support.
9.2 By Us
We may suspend or terminate your account if you:
- Violate these Terms or our Acceptable Use Policy
- Engage in fraudulent or illegal activity
- Fail to pay applicable fees
- Receive repeated policy violations from Meta
Upon termination, your data will be retained for 30 days to allow for export, after which it will be permanently deleted.
10. Limitation of Liability
To the maximum extent permitted by law:
- Replai is provided "as is" and "as available" without warranties of any kind
- We are not liable for any indirect, incidental, special, or consequential damages
- Our total liability shall not exceed the amount you paid for the Service in the preceding 12 months
- We are not responsible for actions taken by Meta regarding your WhatsApp Business account
11. Indemnification
You agree to indemnify and hold harmless Junkies Coder, its officers, employees, and affiliates from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in India.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the platform at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
